1. Definitions

In these Terms and Conditions:

“We”, “us” or “our” means BOX SMART CUBED LTD TRADING AS BRICKS-SMART.CO.UK.

“You” or “your” means the person or business placing an order with us.

“Products” means any goods offered for sale by us, including storage cartons, display products, printed products, model storage products, miniature or minifigure storage products and other manufactured or supplied goods.

“Standard Products” means products manufactured or supplied to our standard specifications and not individually personalised or manufactured specifically for a customer.

“Personalised Products” means products which have been produced using information, text, logos, images, artwork, colours, designs or other specifications supplied or selected by the customer.

“Bespoke Products” means products designed, manufactured, modified or produced specifically to meet a customer’s individual requirements.

2. Orders

An order placed through our website constitutes an offer by you to purchase the products selected.

Your order will only be accepted by us when we have confirmed acceptance of the order and/or commenced processing or production.

We reserve the right to refuse or cancel an order where there is a reasonable reason to do so, including where:

  • the product is unavailable;
  • there is an obvious pricing or description error;
  • supplied artwork or content cannot reasonably be produced;
  • the requested design infringes the rights of another person or business;
  • we reasonably believe the order may be fraudulent; or
  • the information supplied by the customer is incomplete or inaccurate.

If we cancel an order after payment has been taken, we will refund the amount paid for the cancelled order.

3. Product Descriptions

We make reasonable efforts to ensure that product descriptions, photographs, dimensions, colours and other information displayed on our website are accurate.

However, photographs and images are for illustrative purposes and there may be minor variations in colour, texture, finish, dimensions or appearance due to manufacturing tolerances, screen settings, photography and the materials used.

Such minor variations will not normally constitute a defect where the product remains materially as described.

Where exact dimensions, colours or finishes are critical to a customer’s requirements, the customer should contact us before ordering.

4. Prices

All prices are displayed in pounds sterling (£).

Unless otherwise stated, prices exclude delivery charges.

Where applicable, VAT will be charged at the prevailing rate.

We reserve the right to change prices at any time. However, once we have accepted an order, the price applicable to that order will not normally be changed.

If an obvious pricing error occurs on the website, we reserve the right to contact the customer before processing the order.

5. Payment

Payment must be made using one of the payment methods offered at checkout or otherwise agreed with us.

For bespoke or custom-designed work, we may require payment in full, or a deposit, before design or manufacturing work begins.

Where a deposit is required, the remaining balance must be paid before the finished product is dispatched unless otherwise agreed in writing.

6. Standard Products

Standard Products may be returned where the customer has a legal right to cancel the order or where we have agreed to accept a return.

Nothing in these Terms and Conditions affects the customer’s statutory rights.

Where a consumer purchases a Standard Product online, they will normally have cancellation rights under the Consumer Contracts Regulations, subject to the applicable exceptions.

Details of our returns procedure are provided in Section 13.

7. Personalised and Bespoke Products

Personalised and Bespoke Products include, but are not limited to:

  • products bearing a customer’s name;
  • products bearing a customer’s logo;
  • products printed with customer-supplied artwork;
  • custom-printed brick wall displays;
  • products manufactured to a customer’s dimensions;
  • products modified to a customer’s specification;
  • individually designed storage products;
  • custom display products;
  • products incorporating customer-supplied designs;
  • products manufactured specifically for a particular customer; and
  • products which cannot reasonably be resold to another customer because of their individual specification.

Because these products are produced specifically for the customer, the normal statutory change-of-mind cancellation right does not generally apply to genuinely personalised or bespoke goods.

Accordingly, once production of a Personalised or Bespoke Product has commenced, the customer will not normally be entitled to cancel the order simply because they have changed their mind.

This does not affect the customer’s statutory rights where the product is faulty, not as described, incorrectly produced, or otherwise fails to meet the requirements of applicable consumer law.

8. Customer Approval of Designs

Where we provide a proof, drawing, digital preview, artwork or other representation for customer approval, the customer is responsible for checking the proof carefully before approving it.

The customer should check, in particular:

  • spelling;
  • wording;
  • names;
  • numbers;
  • dimensions;
  • positioning;
  • colours;
  • logos;
  • artwork;
  • images; and
  • any other design details.

Once the customer has approved a design, we will manufacture the product in accordance with the approved design.

We are not responsible for errors in customer-approved artwork or designs where the finished product accurately reflects the approved proof.

If a customer requests a change after approval and production has already commenced, additional charges may apply and, depending on the stage of production, the requested change may not be possible.

9. Customer-Supplied Artwork, Logos and Images

The customer warrants that they have the necessary rights, permissions and authority to provide us with any artwork, logo, photograph, image, text, design or other material supplied for use in connection with an order.

The customer must not provide material which infringes the copyright, trademark, design rights, intellectual property rights or other rights of any third party.

We reserve the right to refuse to reproduce material where we reasonably believe that doing so may infringe the rights of another person or organisation or may otherwise be unlawful.

The customer agrees to indemnify us against reasonable losses, claims, costs or expenses arising directly from our use of customer-supplied material where the customer did not have the necessary rights or permissions to use that material.

10. Logos and Trademarks

Where a customer requests a product incorporating a third-party logo, trademark, brand name or other protected material, the customer is responsible for ensuring that they have the necessary authority to use that material.

We do not represent that any product incorporating a customer-supplied logo, trademark or other intellectual property is authorised, endorsed or approved by the owner of that intellectual property unless expressly stated by us.

The use of third-party names, logos or trademarks on a customer order does not imply any relationship, endorsement or affiliation.

11. Custom Design Services

Where we are asked to create a design specifically for a customer, the design work may form part of the overall cost of the order or may be charged separately.

Unless otherwise agreed in writing, design work created specifically for a customer is intended solely for the customer’s order.

We retain ownership of our general design methods, manufacturing processes, templates, techniques, know-how and pre-existing intellectual property.

We may refuse a design request where we consider it technically impractical, unsuitable for the intended manufacturing process or potentially unlawful.

12. Manufacturing Tolerances and Materials

Manufactured products may be subject to reasonable manufacturing tolerances.

Minor variations in dimensions, colour, print position, material finish or appearance may occur and do not necessarily constitute a defect.

Where products are made from materials such as acrylic, plastic, card, board, wood, metal, printed materials or other manufactured materials, natural or manufacturing variations may occur.

Where a product is supplied for the storage or display of models, miniatures, bricks, minifigures or other items, the customer is responsible for ensuring that the product is suitable for their particular intended use unless a specific suitability has been expressly agreed with us.

13. Returns and Refunds

Standard Products

If you are a consumer purchasing a Standard Product online, you may have a legal right to cancel your order within the applicable statutory cancellation period.

Where applicable, the customer must notify us of cancellation within the required period and return the product in accordance with our returns instructions.

The customer may be responsible for the cost of returning unwanted Standard Products where permitted by law and where we have provided the required information before the contract was entered into.

Personalised and Bespoke Products

Personalised and Bespoke Products are made specifically for the customer and therefore are generally excluded from the normal change-of-mind cancellation right.

We do not accept returns simply because the customer has changed their mind, selected the wrong specification, supplied incorrect information, or no longer requires the product.

However, this exclusion does not apply where the product is faulty, not as described, incorrectly manufactured, or otherwise fails to meet the customer’s statutory rights.

We will deal with any such issue in accordance with applicable UK consumer law.

14. Faulty, Damaged or Incorrect Products

If your order arrives damaged, incorrect or defective, please contact us as soon as reasonably possible.

Where appropriate, please provide photographs of:

  • the outer packaging;
  • the product;
  • any visible damage;
  • the delivery label; and
  • any other information reasonably requested by us.

This will help us investigate the issue and, where appropriate, arrange a replacement, repair, refund or other remedy.

Nothing in these Terms and Conditions limits or excludes any statutory rights which cannot legally be excluded.

15. Delivery

We will provide an estimated delivery time when you place your order.

Delivery dates and times are estimates unless we have expressly agreed a guaranteed delivery date.

Custom and Bespoke Products may require longer production times than Standard Products.

Where a product requires design approval, production will not normally commence until the required approval has been received.

We are not responsible for delays caused by circumstances outside our reasonable control, including courier delays, industrial action, severe weather, supply chain problems, manufacturing interruptions or other unforeseen events.

16. Inspection on Delivery

Customers should inspect products as soon as reasonably possible after delivery.

If a parcel appears to have suffered significant damage during transit, the customer should photograph the packaging and product before disposing of the packaging.

Failure to report apparent damage immediately does not automatically remove any statutory rights the customer may have.

17. Intellectual Property

All intellectual property rights in our website, product designs, photographs, graphics, drawings, text, branding, product concepts, templates and other original material remain our property or the property of our licensors unless expressly stated otherwise.

You may not reproduce, copy, modify, distribute, sell or commercially exploit our designs, photographs, drawings or other intellectual property without our written permission.

Where a customer commissions a bespoke design, ownership of the underlying design and intellectual property will be as agreed in writing before production.

Payment for a physical product does not automatically transfer ownership of our underlying intellectual property.

18. Use of Completed Work for Marketing

Unless the customer specifically asks us not to do so before production, we may photograph completed products and use photographs of our finished work for our website, portfolio, social media, advertising and other marketing purposes.

Where a customer’s confidential information, personal information or commercially sensitive material is visible, we will take reasonable steps to avoid publishing that information.

We will not use customer-supplied artwork or intellectual property for unrelated purposes.

19. Customer Responsibility for Measurements and Specifications

Where a customer provides dimensions, measurements or specifications for a Bespoke Product, the customer is responsible for ensuring that the information supplied is accurate.

We will manufacture according to the specifications agreed with the customer.

If incorrect dimensions or specifications supplied by the customer result in a product being unsuitable for the customer’s intended application, we will not normally be responsible for redesign or remanufacturing costs unless we have separately agreed to verify the measurements.

20. Liability

Nothing in these Terms and Conditions excludes or limits liability where it would be unlawful to do so.

In particular, nothing in these Terms and Conditions excludes or limits liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • defective products where liability cannot legally be excluded; or
  • any consumer rights or other liability which cannot legally be excluded or restricted.

Subject to the above, we will not be responsible for indirect or consequential losses which are not reasonably foreseeable.

For business-to-business customers, our liability may be limited to the amount paid for the relevant order, except where such limitation would be unlawful or unreasonable.

Nothing in this section is intended to remove or restrict rights available to consumers under applicable UK law.

21. Business Customers

Where a customer purchases products wholly or mainly for the purposes of their business, trade or profession, the order may be treated as a business-to-business transaction.

Certain consumer cancellation rights will not apply to business customers.

Business customers remain responsible for ensuring that products purchased are suitable for their intended commercial application unless we have expressly agreed otherwise in writing.

22. Events Outside Our Control

We will not be liable for failure or delay in performing our obligations where the failure or delay results from circumstances beyond our reasonable control.

Such circumstances may include:

  • fire;
  • flood;
  • extreme weather;
  • power failure;
  • equipment failure;
  • supplier failure;
  • transport disruption;
  • industrial disputes;
  • government action;
  • cyber incidents;
  • interruption to utilities;
  • shortage of materials; or
  • other circumstances which could not reasonably have been anticipated or prevented.

We will take reasonable steps to minimise the effect of such circumstances.

23. Complaints

If you have a complaint, please contact us using the contact details shown on our website.

We will investigate complaints fairly and aim to resolve them as quickly as reasonably possible.

Please provide your order number and sufficient information to allow us to investigate the matter.

24. Privacy

We will process personal information in accordance with our Privacy Policy and applicable UK data protection legislation.

Our Privacy Policy is available separately on our website.

25. Website Information

We make reasonable efforts to ensure that information displayed on our website is accurate and up to date.

However, we cannot guarantee that the website will always be available or completely free from errors.

We reserve the right to amend product descriptions, specifications and website content where reasonably necessary.

26. Changes to These Terms

We may update these Terms and Conditions from time to time.

The Terms and Conditions applicable to an order will normally be those in force at the time the order was placed.

Any changes will be published on our website.

27. Governing Law

These Terms and Conditions and any contract between us shall be governed by the laws of England and Wales, unless applicable law requires otherwise.

Any dispute shall be subject to the jurisdiction of the courts of England and Wales, subject to any mandatory rights available to consumers under applicable law.

28. Statutory Rights

Nothing in these Terms and Conditions affects your statutory rights as a consumer.

Where products are sold to consumers, they must comply with applicable UK consumer protection legislation, including requirements concerning description, satisfactory quality and fitness for purpose.

Where there is any conflict between these Terms and Conditions and a mandatory statutory consumer right, the statutory right will take precedenc
